These Terms of Service (“Terms”) are an agreement between you and PelPush. By creating an account or using the service, you agree to them. Please read them — especially the sections on tax outcomes, warranties, and liability.

1Acceptance of these Terms

By accessing or using PelPush (the “Service”), you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business, and “you” includes that business. If you do not agree, do not use the Service.

2The Service

PelPush provides bookkeeping, US business and personal tax-return preparation, and plain-language business insights for small business owners, with a human support team behind it. The Service produces a ready-to-file return package and, for business clients, financial statements and an insight report. A licensed professional stands behind the work, and returns transmitted under the firm’s authorization pass through professional review at the filing step.

3Eligibility & your account

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for the security of your account, including the sign-in factors you set up (an email code plus a passkey or authenticator app). Notify us promptly of any unauthorized use.
• You agree to provide accurate, current, and complete information and to keep it up to date. Tax returns depend on it.

4Beta service

The Service is currently offered as a free beta. It is provided as is, may change, be interrupted, or be discontinued, and may contain errors. We may add, modify, or remove features, and we may introduce fees in the future on prior notice (see section 9).

5Your content

You retain all rights to the documents, data, and information you provide (“Your Content”). You grant PelPush a limited license to host, process, and use Your Content solely to provide and improve the Service for you, to prepare and file your returns, and as described in our Privacy Policy. You represent that you have the right to provide Your Content and that doing so does not violate any law or third-party right.

6Your responsibilities & acceptable use

• Provide complete and accurate records, and review the work we prepare.
• You are responsible for reviewing and approving every return before it is filed, and for signing the e-file authorization (Form 8879) where required.
• Do not use the Service unlawfully, to submit information you are not authorized to provide, to attempt to breach security, to interfere with the Service, or to reverse-engineer it.
• Do not upload another person’s information without authority to do so.

7Tax preparation & no guarantee of outcome

We prepare your returns with professional care based on the information you provide. However:

• We do not guarantee any particular tax outcome, refund amount, or that a return will not be examined or adjusted by a taxing authority.
• The accuracy of a return depends on the completeness and accuracy of the information you give us. You are responsible for the information on your return and for retaining your own records.
• The Service does not provide legal advice. For legal questions, consult a qualified attorney.
• If a taxing authority assesses additional tax, interest, or penalties, you remain responsible for amounts you actually owe; any preparer-error commitment we offer will be stated separately in writing [error/accuracy policy pending].

8Third-party services

The Service integrates with third-party services you choose to connect, such as QuickBooks Online. Your use of those services is also governed by their own terms and privacy policies, and we are not responsible for them. When you connect QuickBooks, you authorize the read-only access described in our Privacy Policy; you may disconnect at any time.

9Fees

The Service is free during the beta. If we introduce fees, we will tell you the price and terms before they apply to you, and you may decline by discontinuing use. Any taxes on fees are your responsibility.

10Our intellectual property

The Service, including its underlying code, design, and content (excluding Your Content), is owned by PelPush and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for your own business purposes under these Terms. The PelPush name and marks may not be used without our permission.

11Suspension & termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service or other clients. We will handle your information after termination as described in our Privacy Policy, including records we must retain as a tax preparer. Sections that by their nature should survive (for example, content licenses you granted for work already done, disclaimers, liability limits, and indemnities) survive termination.

12Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. This does not limit any warranty that cannot be excluded under applicable law.

13Limitation of liability

To the fullest extent permitted by law, PelPush and its owners, staff, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or [cap amount pending]. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

14Indemnification

You agree to indemnify and hold harmless PelPush from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

15Governing law & disputes

These Terms are governed by the laws of the State of [governing-law state pending], without regard to its conflict-of-laws rules. The parties submit to the courts located in [venue pending] for any dispute, except that either party may seek injunctive relief to protect its intellectual property or confidential information. 16Changes to these Terms

We may update these Terms as the Service evolves or the law changes. We will post the updated Terms here with a new effective date and, for material changes, notify you through the Service or by email. Continued use after changes take effect means you accept the updated Terms.
